NEW YORK VAN TERMS AND CONDITIONS

Effective Date: September 5, 2026

These Terms and Conditions (“Terms”) govern your use of newyorkvan.com (the “Site”) and any quote, reservation, transportation, or related service provided by WTM 365 Inc DBA New York Van (“New York Van,” “we,” “us,” or “our”).

New York Van provides private van and car transportation, airport transfers, corporate travel, group transportation, event transportation, private trips, and related chauffeured ground transportation.

By using the Site, requesting a quote, making a reservation, or using our Services, you agree to these Terms. If a written quote, confirmation, contract, or event agreement contains terms that differ from these Terms, the more specific written terms applicable to that reservation will control.

1. TRANSPORTATION SERVICES AND AFFILIATES

WTM 365 Inc DBA New York Van arranges and provides private van and car transportation, airport transfers, corporate and group transportation, hourly charter service, event transportation, and related chauffeured ground transportation.

We may fulfill a reservation using our own vehicles or properly authorized affiliates, subcontractors, independent operators, or other transportation providers. Reservation information may be provided to an assigned provider or chauffeur as reasonably necessary to perform the requested transportation service.

Vehicle make, model, color, year, and chauffeur assignment are not guaranteed unless expressly confirmed in writing.

2. QUOTES, RESERVATIONS, AND CUSTOMER RESPONSIBILITIES

A quote is an estimate and does not create a confirmed reservation. A reservation is confirmed only after New York Van issues confirmation and any required payment authorization or deposit has been completed. Rates and vehicle availability are subject to availability until confirmation.

Customers are responsible for providing complete and accurate information, including passenger count, luggage requirements, accessibility or child-seat needs, pickup and destination addresses, dates, times, flight information, and a working telephone number.

Customers must promptly review their confirmation and notify us of errors or requested changes. Changes may affect price, availability, vehicle type, pickup time, duration, and cancellation terms.

The individual making a reservation represents that they are at least 18 years old and authorized to accept these Terms on behalf of the passengers and person or organization responsible for payment.

3. RATES, PAYMENTS, AND ADDITIONAL CHARGES

You authorize WTM 365 Inc DBA New York Van and its payment processor to charge the payment method provided for the confirmed fare, required deposits, and additional amounts properly incurred in connection with your reservation.

Unless expressly included in writing, quoted prices may not include gratuity, waiting time, additional stops, parking, tolls, airport or port fees, meet-and-greet charges, additional service time, requested vehicle changes, cleaning or damage charges, taxes, government fees, or other charges disclosed in the reservation confirmation.

Gratuity is not included unless stated otherwise in your confirmation. Additional voluntary gratuity is at the customer’s discretion.

4. CANCELLATIONS AND CHANGES

Cancellation and change requirements may vary depending on the vehicle, service, date, group size, event, and itinerary. The cancellation policy provided in your written quote or reservation confirmation will control.

For airport transfers, point-to-point transportation, hourly charter services, event transportation, specialty vehicles, minibuses, multiple vehicles, large groups, holidays, and major events, applicable cancellation deadlines, deposits, and nonrefundable amounts will be disclosed in the quote or reservation confirmation.

Changes are subject to availability and are not accepted until confirmed by New York Van in writing. Reducing reserved hours, vehicles, or services after an applicable cancellation deadline may be treated as a cancellation of the reduced portion.

5. HOURLY AND EVENT SERVICES

Hourly and event transportation is billed according to the reserved minimum and any additional time used.

Time beyond the reserved period may be billed according to the rate and billing increment stated in the reservation confirmation. Customers are responsible for additional time resulting from passenger requests, itinerary changes, delayed readiness, additional stops, or other circumstances attributable to the customer or party.

6. AIRPORT TRANSPORTATION, WAITING TIME, AND FLIGHT CHANGES

When accurate flight information is provided, New York Van may monitor publicly available flight status information and adjust dispatch when reasonably possible.

Airline delays, diversions, cancellations, baggage delays, customs processing, terminal changes, airport restrictions, traffic, and other circumstances may affect pickup times.

Flight monitoring does not guarantee that a chauffeur can wait indefinitely or that a vehicle can be reassigned without additional charges.

Applicable waiting times and additional waiting charges will be governed by the reservation confirmation. Customers should contact us promptly if their flight or pickup arrangements change.

7. NO-SHOWS

A no-show occurs when a passenger does not meet the chauffeur at the designated pickup location within the applicable waiting period and does not successfully contact New York Van or the assigned chauffeur.

A no-show may result in charges up to the full reservation amount, plus applicable waiting time, parking, tolls, and other reasonable costs incurred.

If you cannot locate your chauffeur or vehicle, call (718) 516-9555 before leaving the pickup location or arranging alternative transportation.

8. PASSENGER CONDUCT AND SAFETY

Passengers must comply with applicable laws, use available seat belts, follow reasonable safety instructions, and refrain from conduct that threatens safety or materially disrupts transportation services.

Smoking or vaping where prohibited, illegal drugs, unlawful activity, intentional damage, harassment, threats, violence, and unsafe behavior are prohibited.

A chauffeur or transportation provider may refuse or terminate service when reasonably necessary for safety, legal compliance, or serious misconduct.

Customers should request required child restraints or accessibility accommodations in advance so availability can be confirmed.

9. LUGGAGE, PERSONAL PROPERTY, CLEANING, AND DAMAGE

Customers should disclose unusual, oversized, excessive, hazardous, or high-value items before reservation confirmation.

Passengers are responsible for securing and checking their personal belongings. New York Van will make reasonable efforts to locate reported lost property but cannot guarantee recovery.

Customers may be responsible, to the extent permitted by law, for reasonable repair, replacement, downtime, and cleaning costs resulting from spills, smoke, burns, bodily fluids, intentional damage, negligent damage, or other damage beyond ordinary use caused by the customer or members of their party.

10. DELAYS, ROUTES, AND CIRCUMSTANCES BEYOND OUR CONTROL

Pickup and arrival times are estimates unless expressly guaranteed in writing.

Traffic, weather, road closures, construction, accidents, mechanical problems, airport conditions, flight disruptions, government actions, public events, emergencies, labor interruptions, and other circumstances beyond our reasonable control may cause delays, substitutions, or cancellations.

When practical, New York Van will attempt to notify affected customers and arrange a reasonable alternative.

11. VEHICLE SUBSTITUTION

New York Van may substitute a comparable or upgraded vehicle when a requested vehicle becomes unavailable because of safety, maintenance, mechanical, scheduling, or operational circumstances.

We will make reasonable efforts to provide sufficient lawful seating and appropriate capacity based on the information provided before confirmation.

12. WEBSITE USE AND INTELLECTUAL PROPERTY

The Site and its text, designs, graphics, photographs, logos, and other content are owned by or licensed to WTM 365 Inc DBA New York Van and are protected by applicable law.

You may use the Site for lawful personal or business transportation inquiries. You may not interfere with the Site, submit fraudulent requests, misuse booking or quote forms, reverse engineer the Site, or commercially use protected Site content without authorization.

Third-party links may be provided for convenience. New York Van does not control third-party websites and is not responsible for their independent practices.

13. SMS/TEXT MESSAGING PROGRAM

PROGRAM NAME AND DESCRIPTION

WTM 365 Inc DBA New York Van provides an SMS messaging program for customers and prospective customers who voluntarily opt in to receive text messages relating to our private van, car, airport, corporate, group, event, and chauffeured transportation services.

By voluntarily opting in to receive text messages from WTM 365 Inc DBA New York Van, you agree to the SMS terms described below.

TRANSACTIONAL SMS MESSAGES

Users who opt in to transactional SMS communications may receive messages related to transportation services they request, including quote follow-ups, reservation confirmations, pickup details and reminders, airport transportation updates, chauffeur or vehicle updates, trip and reservation updates, customer care communications, and other notifications concerning requested transportation services.

MARKETING AND PROMOTIONAL SMS MESSAGES

Users who separately opt in to marketing SMS communications may receive occasional promotional messages, including special offers, discounts, transportation promotions, airport transfer promotions, corporate transportation offers, group transportation promotions, event transportation promotions, and updates regarding New York Van transportation services.

Marketing consent is voluntary and is not a condition of purchasing or receiving transportation services. Where both transactional and marketing SMS communications are offered, users are provided separate opportunities to consent to each category of messaging.

MESSAGE FREQUENCY

Message frequency may vary depending on your transportation requests, reservations, interactions with New York Van, and the messaging categories for which you have opted in.

MESSAGE AND DATA RATES

Message and data rates may apply. Your wireless carrier’s standard messaging and data rates may apply to messages sent to you from us and messages you send to us. Contact your wireless provider with questions regarding your mobile plan.

SMS OPT-OUT — STOP

You may cancel the SMS service at any time by replying STOP. After you send STOP, we may send one final SMS message confirming that you have been unsubscribed. After this confirmation, you will no longer receive SMS messages covered by that opt-out request except as otherwise permitted by applicable law.

SMS RE-ENROLLMENT — START

If you previously opted out and would like to receive SMS messages again, reply START or complete the applicable SMS opt-in process again.

CARRIER LIABILITY DISCLAIMER

Mobile carriers are not liable for delayed or undelivered messages. Delivery of SMS and MMS messages is subject to carrier availability and effective transmission by your wireless provider and is not guaranteed.

MOBILE INFORMATION AND PRIVACY

Our collection and use of personal and mobile information is governed by our Privacy Policy.

No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Information sharing to subcontractors in support services, such as customer service, is permitted. All other use case categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties.

Messaging vendors, carriers, aggregators, and other service providers may process information solely as necessary to deliver and support the SMS messaging program.

COMPLIANCE WITH INDUSTRY STANDARDS

The WTM 365 Inc DBA New York Van SMS messaging program is managed in accordance with applicable industry standards, including the Telephone Consumer Protection Act (TCPA) and applicable CTIA guidelines.

By voluntarily opting into the SMS program, you acknowledge that you are providing consent to receive the categories of SMS messages disclosed at the point where your consent is collected.

LEGAL COMPLIANCE

The SMS messaging program is governed by applicable federal and state laws and applicable requirements concerning consumer consent, privacy, and text messaging communications.

14. EMAIL AND TELEPHONE COMMUNICATIONS

New York Van may send service-related emails or make telephone calls reasonably related to a transportation inquiry or reservation.

Marketing emails, where used, will identify the sender and provide an applicable unsubscribe method. We will honor marketing opt-out requests as required by law.

Transactional and relationship communications may continue when reasonably necessary to complete a request, administer a reservation, provide transportation or safety information, or address an account or payment matter.

15. PRIVACY

The collection, use, and protection of personal information associated with the Site and our Services is governed by the New York Van Privacy Policy.

16. DISCLAIMERS

To the fullest extent permitted by law, the Site and Services are provided on an “as available” basis.

New York Van does not warrant uninterrupted Site access, error-free communications, particular travel times, or availability of a specific vehicle or chauffeur unless expressly guaranteed in writing.

Nothing in these Terms excludes warranties or obligations that cannot legally be excluded.

17. LIMITATION OF LIABILITY

To the fullest extent permitted by law, WTM 365 Inc DBA New York Van and its owners, employees, agents, affiliates, and transportation providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including missed flights, missed events, lost profits, or loss of use arising from the Site or Services.

To the fullest extent permitted by law, aggregate liability for a claim concerning a particular reservation will not exceed the amount paid to New York Van for that reservation.

These limitations do not apply to liability that cannot lawfully be limited.

18. INDEMNIFICATION

To the fullest extent permitted by law, you agree to indemnify and hold harmless WTM 365 Inc DBA New York Van and its owners, employees, agents, affiliates, and transportation providers from third-party claims, losses, and reasonable costs arising from unlawful conduct, a material breach of these Terms, or damage or injury caused by you or members of your party.

This provision does not require indemnification for another party’s negligence or misconduct where prohibited by law.

19. GOVERNING LAW AND DISPUTES

These Terms are governed by the laws of the State of New York without regard to conflict-of-law principles.

Before filing a claim, the parties should attempt in good faith to resolve the matter by contacting the other party and providing a reasonable description of the dispute.

Unless applicable law requires otherwise, court proceedings must be brought before a state or federal court having jurisdiction over the dispute in New York.

Nothing in these Terms limits non-waivable consumer rights.

20. CHANGES, SEVERABILITY, AND NO WAIVER

WTM 365 Inc DBA New York Van may update these Terms prospectively by posting a revised version and effective date on the Site.

The Terms in effect when a reservation is confirmed ordinarily govern that reservation unless the parties agree otherwise or a change is required by applicable law.

If a provision is found unenforceable, it will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in effect.

Failure or delay in enforcing a right does not constitute a waiver of that right.

21. DBA DISCLOSURE

New York Van is a trade name and operates as a doing-business-as (DBA) designation of WTM 365 Inc.

Throughout this website, landing pages, forms, advertisements, communications, and related materials, references to “New York Van,” “we,” “us,” “our,” or the “Company” refer to WTM 365 Inc DBA New York Van.
